Initial Signup Agreement

By completing the Glide Signup Form, you confirm that you are authorized to enter into this agreement on behalf of the business ("Venue") listed during the Glide Signup process, with Vital Beverage LLC ("Vital"). This agreement pertains to the use of Glides at all of the Venue’s locations as recorded in the Glide Signup Form.

1. Commitment

The Venue commits to utilizing Glides supplied by Vital, subject to the terms and conditions set forth below:

2. Conditions and Assurance of Agreement

  • Vital offers an optional Glide demonstration before the first delivery to ensure the Venue's satisfaction.

  • Venue commits to deploying at least two Glides in every room of each venue location listed in their Glides Signup Form, unless otherwise agreed upon in writing.

  • Venue will receive delivery of Glides after placing order through Vital's online website.

  • Venue must begin operating Glides in all rooms listed on the Glide Signup Form, within 3 calendar days from delivery of the Glide units.

  • Both parties agree to maintain the operational standards of Glides, including proper positioning in each room, ensuring each Glide is consistently powered, and managing the replacement, pickup, and delivery of Glides as needed.

3. Usage Terms

3.1 Payment Terms

  • Venue agrees to signup for accepting payments via Stripe Connect, unless otherwise agreed to in writing.
  • Venue understands that a dollar amount (Per Serving Payment) will be transferred to Vital.

3.2 Rate Changes

  • The dollar amount for each Per Serving Payment is determined by the beverage contained in the Glide and is subject to change at Vital's discretion.

3.3 Damage and Loss

  • Venue agrees to pay Vital $100 for each Glide that becomes damaged, missing, broken, or otherwise deemed unusable or irretrievable while on the Venue premises or otherwise Venue supervision.

4. Definitive Terms

The specific terms and conditions governing the pickup details, delivery schedules, and any other pertinent operational information will be negotiated and confirmed either verbally or in writing by both parties.

5. Binding Commitment

This agreement constitutes a binding commitment between both parties, indicating the Venue’s intent to proceed in good faith toward a formal contract. Withdrawal from this commitment may result in liabilities as per mutually agreed terms.

6. Confidentiality Agreement

Both parties agree to maintain the confidentiality of the terms of this Agreement and all related negotiations.
